STRATEGIC PARTNER AGREEMENT

This Strategic Partner Agreement ("Agreement") outlines the terms under which the Strategic Partner ("Partner") participates in the referral program established by Hire Emerald ("Emerald").


1. Purpose

The purpose of this Agreement is to establish a strategic collaboration in which the Partner refers potential clients to Emerald in exchange for referral-based rewards.


2. Program Description

Emerald specializes in connecting U.S. companies with top Colombian remote talent across multiple industries. As part of this program:

  • The Partner will receive a personalized referral code after an initial strategic meeting.

  • This code must be used by referred clients when completing Emerald’s Request Top Talent and Agreement forms.

  • A referral is valid only if it includes the correct code at the time of submission.


3. Referral Rewards

The Partner will receive 20% of the fee collected by Emerald for each referred candidate successfully hired by a client through Emerald.

Conditions:

  • Emerald typically charges a 25% one-time fee of the candidate’s annual salary or a 35% fee financed over 12 months.

  • The referral reward will be calculated based on the actual fee collected by Emerald, including any applicable discounts.

  • If Emerald applies discounts, the referral reward will adjust proportionally to the fee collected.

Examples:

  • Case 1: One-time paymentCandidate annual salary: $20,000Emerald fee (25%): $5,000Partner reward (20% of fee): $1,000

  • Case 2: Financed over 12 monthsCandidate annual salary: $20,000Emerald fee (35%): $7,000 (paid over 12 months)Partner reward (20% of fee): $1,400 (paid proportionally as Emerald collects payments)


4. Payment Terms

  • Referral rewards are paid within 30 days after Emerald receives the full client payment.

  • Payments will be issued via the method agreed upon between Emerald and the Partner.

  • The Partner must provide necessary payment and tax information to receive rewards.


5. Referral Attribution

  • Referrals are tracked via the personalized code.

  • It is the Partner’s responsibility to ensure the code is properly used by their referrals.

  • Referrals without the correct code cannot be attributed or rewarded.


6. Program Participation and Termination

  • This Agreement is effective from the date of acceptance and will remain in force until terminated by either party.

  • Either party may terminate participation with 15 days’ written notice.

  • Emerald reserves the right to terminate this Agreement immediately in the event of misuse or breach.


7. Confidentiality

Both parties agree to maintain the confidentiality of any sensitive or proprietary information exchanged as part of this collaboration.


8. Limitation of Liability

Emerald shall not be liable for indirect, incidental, or consequential damages arising from this Agreement. Total liability shall not exceed the referral reward amounts due.


9. Independent Relationship

The Partner is not an employee, agent, or representative of Emerald. Participation in the program does not create a joint venture or legal partnership.


10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, United States.


By accepting this Agreement, the Partner acknowledges understanding and acceptance of all the terms outlined above.
