1. ServicesBy agreeing to these Terms & Services, you ("Client") engage Hire Emerald LLC ("Hire Emerald") to provide services related to sourcing, recruiting, reviewing, and presenting individuals for potential employment and/or contracting with Client. Our candidate pool is obtained through exclusive agreements with top Colombian universities, professional associations, and exclusive referral partnerships.
2. Service GuaranteeHire Emerald offers a 90-day guarantee. If the Candidate leaves Client’s service for any reason other than layoff, reduction in workforce, or Client’s breach of agreement within 90 days after hiring, Hire Emerald will repeat the search at no additional cost. Client must notify Hire Emerald within 30 days of Candidate departure to qualify for this guarantee.
3. Initial DepositTo initiate our services, a refundable deposit of $500 is required. This deposit will be applied toward the headhunter fee if we successfully place a candidate for you. If no candidate is placed, the deposit will be refunded in full. By accepting these terms, the Client also consents to the platform securely storing the credit card information for automatic billing of any remaining balance when the full payment is due.
4. Placement FeeThe Client may choose one of the following payment options upon the successful hiring of a candidate:
Option 1 – One-Time Payment: A one-time headhunter fee equivalent to 15% of the Candidate’s Presumed Annual Salary (monthly salary × 12), payable in full.
Option 2 – Financed Payment: A 20% headhunter fee, payable in 12 equal monthly installments.
The Client must confirm their preferred payment option prior to the Candidate’s start date.
5. Payment of Headhunter FeeThe headhunter fee becomes due upon the successful hiring of a Candidate, defined as the earlier of (a) the signing of an employment agreement between the Candidate and the Client or (b) the Candidate’s first day of employment. The $500 deposit will be deducted from the total fee amount due under either payment option.
Under Option 1 (One-Time Payment), the remaining balance is due within three (3) business days of successful hiring.
Under Option 2 (Financed Payment), the first installment is due within three (3) business days of successful hiring, and the remaining eleven (11) installments will be charged monthly on the same calendar day.
6. ConfidentialityAll searches are carried out with the highest standards of professionalism and confidentiality. Hire Emerald respects the confidential nature of the information provided by the Client and expects the same level of confidentiality in return regarding any candidate information.
7. Limitation of LiabilityHire Emerald shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the services provided, even if advised of the possibility of such damages. Hire Emerald's total liability under this agreement, whether in contract, tort, or otherwise, shall not exceed the amount of fees paid by the Client for the services.
8. Force MajeureHire Emerald shall not be liable for any failure to perform its obligations under these Terms & Services due to circumstances beyond its reasonable control, including, but not limited to, acts of God, war, terrorism, strikes, or other labor disputes, government orders, or any other force majeure event.
9. TerminationEither party may terminate this agreement with thirty (30) days written notice. In the event of termination, Client shall be responsible for any fees and expenses incurred up to the date of termination.
10. Governing LawThese Terms & Services shall be governed by and construed in accordance with the laws of the State of Texas. Any legal proceedings related to these Terms & Services shall be conducted in the courts located in Texas.
