Recruiting Services Agreement

1. Services

By agreeing to these Terms & Services, you ("Client") engage Hire Emerald LLC ("Hire Emerald") to provide services related to sourcing, recruiting, reviewing, and presenting individuals for potential employment and/or contracting with Client. Our candidate pool is obtained through exclusive agreements with top Colombian universities, professional associations, and exclusive referral partnerships.


2. Service Guarantee

Hire Emerald offers a 120-day guarantee. If the Candidate leaves Client’s service for any reason other than layoff, reduction in workforce, or Client’s breach of agreement within 120 days after hiring, Hire Emerald will repeat the search at no additional cost. Client must notify Hire Emerald within 30 days of Candidate departure to qualify for this guarantee.


3. Initial Deposit

To initiate our services, a refundable deposit of $500 is required. This deposit will be applied towards the headhunter fee if we successfully place a candidate for you. If no candidate is placed, the deposit will be refunded in full. By accepting these terms, the Client also consents to the platform securely storing the credit card information for automatic billing of any remaining balance when the full payment is due.


4. Headhunter Fee

Our fee is 35% of the Candidate’s Presumed Annual Salary. The Presumed Annual Salary is calculated as the Candidate’s monthly salary multiplied by 12.


5. Payment of Headhunter Fee

Payment is due upon the successful hiring of a Candidate, defined as the earlier of when a Candidate signs an employment agreement with Client or the Candidate’s first day of employment. The fee is payable within three (3) business days of successful hiring. The initial deposit of $500 will be deducted from the total fee amount due.


6. Confidentiality

All searches are carried out with the highest standards of professionalism and confidentiality. Hire Emerald respects the confidential nature of the information provided by the Client and expects the same level of confidentiality in return regarding any candidate information.


7. Limitation of Liability

Hire Emerald shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the services provided, even if advised of the possibility of such damages. Hire Emerald's total liability under this agreement, whether in contract, tort, or otherwise, shall not exceed the amount of fees paid by the Client for the services.


8. Force Majeure

Hire Emerald shall not be liable for any failure to perform its obligations under these Terms & Services due to circumstances beyond its reasonable control, including, but not limited to, acts of God, war, terrorism, strikes, or other labor disputes, government orders, or any other force majeure event.


9. Termination

Either party may terminate this agreement with thirty (30) days written notice. In the event of termination, Client shall be responsible for any fees and expenses incurred up to the date of termination.


10. Governing Law

These Terms & Services shall be governed by and construed in accordance with the laws of the State of Texas. Any legal proceedings related to these Terms & Services shall be conducted in the courts located in Texas.


Kick-Off Call
By accepting these terms, Client agrees to the services and payment terms by Hire Emerald, including a $500 deposit. The remaining fee will be calculated by deducting the $500 deposit from the total amount due.
