AGENCY PARTNER AGREEMENT

This Agency Partner Agreement (“Agreement”) sets forth the terms and conditions under which the Agency Partner (“Partner”) collaborates with Hire Emerald (“Emerald”) to source and manage remote talent for deployment within the Partner’s own client network.


1. Purpose


This Agreement formalizes a business partnership in which the Partner hires and manages talent sourced through Emerald and places that talent in a network of businesses under the Partner’s management. The Partner assumes full responsibility for the client relationship, while Emerald facilitates access to qualified remote professionals.


2. Roles and Responsibilities


Emerald will:

  • Source qualified candidates based on the Partner’s role descriptions and criteria.

  • Coordinate the recruitment process, including screening and assessments.

  • Charge a placement fee as outlined in Section 3.

  • Offer optional support services such as payroll administration and extended guarantee, subject to additional fees.


The Partner will:

  • Define the profiles and requirements for each role to be filled.

  • Manage the client relationship and set pricing for end clients.

  • Supervise the hired professionals and ensure delivery of services.

  • Handle all day-to-day team management and quality control.


3. Fees and Revenue Model


For each hired candidate, Emerald will charge the Partner either:

  • A one-time fee equal to 15% of the candidate’s agreed annual salary, which includes a 90-day replacement guarantee at no additional cost; or

  • A financed fee of 25% of the annual salary, payable in 12 monthly installments, which includes a 12-month replacement guarantee at no additional cost.


The Partner’s revenue is based on the fixed monthly amounts charged to their clients.The Partner’s cost includes:

  • The direct monthly salary of each professional.

  • The applicable Emerald placement fee.


The Partner retains the margin between their client billing and the total cost (salary + Emerald fee).


4. Optional Services


Emerald offers payroll administration and extended replacement guarantee coverage beyond the included terms as an optional service for:

  • $199 USD/month per team member, with discounts available for teams of 4 or more.

This service includes salary disbursement, basic compliance, and extended support for replacements during the ongoing engagement (as long as the monthly service remains active).

5. Invoicing and Payments

  • Emerald will issue invoices based on the selected fee structure and any additional services requested.

  • All payments must be made within the payment terms indicated on each invoice.

  • Late payments may result in suspension of services and/or termination of the agreement.


6. Exclusivity


Emerald agrees not to engage directly with any of the Partner’s clients for the purpose of providing talent or recruitment services as long as the client has Emerald-sourced talent working under the Partner’s management.The Partner is responsible for identifying such clients clearly. This exclusivity applies only during the period in which Emerald talent is actively engaged with that client through the Partner.


7. Relationship Structure


  • The Partner operates as an independent business entity, not as an employee or agent of Emerald.

  • Emerald has no direct obligation to the Partner’s clients and assumes no responsibility for client satisfaction, deliverables, or performance issues beyond its hiring scope.


8. Confidentiality


Both parties agree to keep all confidential information, including client identities, pricing, business strategies, and talent data, strictly confidential and not to disclose or use it outside the scope of this Agreement.


9. Term and Termination


  • This Agreement is effective upon acceptance and remains valid until terminated by either party with 30 days’ written notice.

  • Emerald may terminate this Agreement immediately in cases of breach, misuse, or payment default.

  • All outstanding amounts must be paid upon termination.


10. Intellectual Property


Any intellectual property created by talent while working under the Partner’s direction will be governed by the Partner’s agreements with their clients. Emerald makes no claim over such intellectual property unless expressly agreed in writing.


11. Limitation of Liability


Emerald shall not be held liable for any damages, losses, or disputes arising between the Partner and their clients. Emerald’s liability under this Agreement is limited to the total fees paid by the Partner in the 30 days prior to any claim.


12. Governing Law


This Agreement shall be governed and interpreted in accordance with the laws of the State of Texas, United States.
